Fulfilment Fee Schedule — EU

RetailConnect operates as your Distributor of Record and, on the Channels set out in your Order Form, acts as the seller to the customer. Where those Channels serve Germany, the European Union or wider European markets, your stock is held at our German fulfilment centre and customer orders are picked, packed and dispatched from there.

This Schedule sets out the charges for that work. It is a pass-through tariff: the rates below reflect the cost of storing, handling and shipping your products, together with a small margin for account handling and carrier variation. They are separate from — and additional to — the setup, management and commission fees in Clause 5 of your Terms & Conditions.

Relationship to Schedule 3

Schedule 3 (Fulfilment Fee Schedule — United Kingdom) applies to Channels fulfilled from our UK fulfilment centre and is charged in Sterling. This Schedule applies to Channels fulfilled from our German fulfilment centre and is charged in Euro. Where you operate Channels in both markets, both Schedules apply, each to its own Channels, and stock is held and charged separately in each location. Your Order Form confirms which fulfilment location serves each Channel.

Where this Schedule applies

Fulfilment charges arise only on Channels the Company fulfils. Where a retail partner holds stock and ships to the customer itself, no charge under this Schedule applies to that Channel; the retail partner's own fulfilment fee is deducted in the Brand Payout instead.

Charged once, when your stock arrives at the fulfilment centre. How you pack your inbound consignment has a material effect on this cost — stock delivered in sealed, single-SKU cartons is handled at a fraction of the loose-unit rate. Our Inbound Consignment Guidelines set out the required packing, labelling and booking-in standard for the German facility, including the customs documentation required for consignments arriving from outside the European Union.

Loose-goods consignments that cannot be received against the Guidelines are handled at the non-standard rate. We will tell you before the charge is incurred wherever the delay allows.

Storage is billed on volume actually occupied rather than allocated pallet space, so slow-moving lines and short runs are charged proportionately. A monthly stock and storage report is available to you through the RetailConnect portal.

Charged per customer order dispatched. The order handling fee covers picking the first item, packing, and standard protective packaging — outer carton or mailing bag, void fill and tape. There is no separate consumables charge for standard orders.

Rates are per parcel, by dispatched weight, on a fully tracked domestic service. Carrier levies applied by the carrier to every parcel — road toll, carbon and energy — are already included in the rates below rather than added afterwards.

Maximum parcel weight is 31.5 kg. Parcels within 120 × 60 × 60 cm carry no size surcharge; larger parcels up to 200 cm on the longest side, and up to 360 cm girth, attract the bulky goods surcharge below.

Cross-border orders are charged as a base rate per parcel plus a per-kilogram rate on dispatched weight, by destination zone. Carbon levies are included in the base rate. Maximum weight is 30 kg; maximum dimensions are 100 × 60 × 60 cm with a girth limit of 300 cm.

The definitive country-to-zone allocation for your Channels is confirmed in the relevant Channel Schedule. Where you hold UK stock with us, orders for United Kingdom customers are fulfilled domestically under Schedule 3 rather than cross-border from Germany.

Under Clause 5.7 of your Terms & Conditions, customer returns, refunds and chargebacks sit with you and are recovered from your Brand Payout. Return rates within the European Union are materially higher than in most other markets, and beauty categories are no exception — the charges below cover both the return carriage and the physical handling of the item on arrival.

Return volumes, reasons and grading outcomes are reported to you through the RetailConnect portal so that returns performance is visible rather than simply deducted.

Any service not listed in this Schedule is quoted in advance at the ad-hoc rate. We do not carry out chargeable additional work without your prior agreement.

• —Fulfilment charges are deducted in calculating your Brand Payout and are shown as a separate, itemised line on your payout statement — never absorbed into the commission figure.
• —Where charges in a period exceed the Brand Payout for that period, the balance is invoiced and payable within fourteen (14) days in line with Clause 5.6.
• —All rates are exclusive of VAT, which is added where applicable.
• —Order and delivery charges are calculated on dispatch. Storage accrues daily and is applied monthly in arrears.
• —Rates are held for the Initial Term and reviewed annually thereafter, on not less than thirty (30) days' written notice, in line with Clause 5.11. Where a carrier imposes a mid-term surcharge outside our control, we will notify you before it is passed through.
• —Fulfilment is performed by our appointed logistics partner. The Company remains responsible for its performance under Clause 14.2 of your Terms & Conditions — your relationship, and your point of accountability, remains with RetailConnect.
